International law firm Pinsent Masons has advised Sports Entertainment Group Limited (ASX: SEG) on a major capital raising and the Australian legal aspects of its acquisition of MediaWorks Topco Limited, in a landmark transaction that will reshape the Trans-Tasman audio and entertainment market.

The acquisition sees Sports Entertainment Group re-enter the New Zealand market through the purchase of MediaWorks, the country’s largest audio business and third-largest advertising platform across all media. Once completed, the transaction will create a leading Trans-Tasman audio network, combining premium sport, entertainment and music content while significantly strengthening SEG’s regional footprint.

Complex Capital Raising Supports Strategic Acquisition

Pinsent Masons played a pivotal role in delivering the sophisticated capital raising that will fund the acquisition. The financing included a multi-tranche institutional placement together with a share purchase plan, providing Sports Entertainment Group with the flexibility required to execute one of its most significant strategic investments to date.

Alongside advising on the capital raising, the firm managed all Australian legal aspects of the acquisition, including compliance with ASX regulatory requirements. The seamless execution of both elements ensured SEG was well positioned to complete the transaction while maintaining confidence among investors and stakeholders.

The deal reflects the increasing importance of carefully structured capital markets transactions in supporting corporate expansion, particularly for businesses pursuing growth opportunities across international markets.

International Collaboration Delivers Cross-Border Success

The transaction demonstrates Pinsent Masons’ ability to coordinate multidisciplinary teams across multiple jurisdictions. Sydney Corporate Partner James Stewart led the matter, supported by Madison Smith, Rachel Brennan and Poppy Koulouris, while specialists from the firm’s offices in London, Manchester, Glasgow, Singapore and Hong Kong provided integrated cross-border legal support.

This collaborative approach enabled Sports Entertainment Group to receive commercially focused advice across every stage of the transaction, highlighting the firm’s strength in managing complex cross-border mergers and acquisitions.

Commenting on the deal, James Stewart said the acquisition represents a strategically significant milestone for Sports Entertainment Group and marks the company’s successful return to the New Zealand market.

He noted that the transaction demonstrates how Australian businesses can leverage targeted acquisitions to establish a meaningful presence in international markets while delivering long-term value for shareholders.

Reinforcing Leadership in Corporate Transactions

The successful completion of this transaction further strengthens Pinsent Masons’ reputation as a trusted adviser on mergers and acquisitions, equity capital markets and cross-border corporate transactions throughout the Asia-Pacific region.

As businesses increasingly pursue strategic expansion beyond domestic markets, the firm’s ability to combine local expertise with an integrated international platform continues to differentiate it in delivering commercially driven legal solutions.

For Sports Entertainment Group, the acquisition of MediaWorks represents more than a geographic expansion. It establishes the foundations of a powerful Trans-Tasman media platform capable of delivering premium content, enhanced advertising opportunities and sustainable long-term growth across Australia and New Zealand.
